Terms of Sale

DISCLAIMER: ANY PAST, PRESENT OR FUTURE DEPOSIT AND/OR PAYMENT OF THIS INVOICE CONSTITUTES YOUR ACCEPTANCE OF THE FOLLOWING TERMS OF SALE:

Intellectual Property: Any and all original materials, designs, mock-ups, graphics and/or renderings created by Embroico during the scope of production as described in this invoice are considered intellectual property belonging solely to Embroico, subject to local and federal copyright law.

CONTRACT SPOILAGE & RETURN POLICY: Most decoration orders are subject to a 2% spoilage rate per production event.

SPOILAGE RATE : While every attempt is made to produce perfect orders every time, screen printing is an industrial process and hence is prone to some level of error. In accordance with industry standards, Embroico is not responsible for loss of product within this 2% deviation per production event. Damage is always rounded to the nearest whole number. Percentages are based on quantity of imprints, not quantity of garments. We strongly recommend that you order extra garments in each size, style and/or color in the event of misprints. Exact Quantities are not guaranteed and are not available on Rush Orders.

MANUFACTURER SPOILAG: Spoilage rate is based on production events only. Manufacturers defects on customer supplied goods should be addressed with the manufacturer. Manufacturer defects that are noticed prior to printing will not be printed. It is entirely possible due the the method that garments are loaded on decoration equipment that manufacturer defects will not be noticed before printing, or at all.

Q/C & RETURNS: Embroico, Inc. does not accept returned goods without prior approval. Because quality printing and embroidery is considered to be subjective, it will be necessary that any returns be inspected prior to any financial decisions are made. Returns or Discounts may be offered after evaluating the quality of our embellishments. Embroico, Inc. has sole authority and discretion about quality in these matters. Reimbursements or replacements may be issued up to the amount of the original invoice for the same order.

IF GOODS ARE REPLACED AT THE EXPENSE OF EMBROICO, INC., THE ORIGINAL DEFECTIVE UNITS MUST BE RETURNED TO EMBROICO. RETURNING OF GOODS TO EMBROICO, INC. IS DONE AT THE CUSTOMER’S EXPENSE.

Taxes and Import Fees: Customer agrees to pay any and all sales and/or import taxes. Any additional freight charges incurred due to audit per ICC regulations will be billed to Customer and are the sole responsibility of Customer.

Order Pickup: All orders, unless otherwise and explicitly specified, orders are to be picked up by the Customer during regular business hours at the Embroico Office located at 7301 SW 45th ST Bay #3, Miami, FL 33155. Any and all delivery, shipping or freight charges shall be charged to and paid by Customer.

Shipping Policy: All merchandise becomes the property of the Customer at the time it is accepted by the shipping carrier. Customer agrees to hold Embroico harmless in the event of lost, delayed, or stolen shipments.

Underruns and overruns: Customer accepts underruns or overruns of not more than 10%, to be billed pro-rata, to be paid by Customer.

Cancellations: Cancellations are subject to approval by Embroico and are subject to cancellation, restocking, and return freight charges. Any and all deposits are non-refundable.

Late Payment Policy: Any amounts not paid when due shall bear interest from the due date at the rate of 1% per month or the highest rate of interest permitted by law, whichever is higher.

Governing Law Provision: These terms of service shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any principles of conflicts of law.

Venue Selection: Any dispute arising out of or related to these terms of service or the use of the services shall be litigated exclusively in the courts of Miami-Dade County, Florida, USA.

Personal Jurisdiction: The user agrees to personal jurisdiction by the courts of Miami-Dade County, Florida, USA and waives any jurisdictional, venue, or inconvenient forum objections to such courts.
